End-User License Agreement (EULA) of CrossBytes

This End-User License Agreement ("EULA") is a legal agreement between you and CrossBytes S.L.U.
This EULA agreement governs your acquisition and use of our CrossBytes software ("Software")(CrossGems) directly from CrossBytes S.L.U. or indirectly through a CrossBytes S.L.U. authorized reseller or distributor (a "Reseller").
Please read this EULA agreement carefully before completing the installation process and using the CrossBytes software. It provides a license to use the CrossBytes software and contains warranty information and liability disclaimers.
If you register for a free trial of the CrossBytes software (CrossGems), this EULA agreement will also govern that trial. By clicking "accept" or installing and/or using the CrossBytes software, you are confirming your acceptance of the Software and agreeing to become bound by the terms of this EULA agreement.
If you are entering into this EULA agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this EULA agreement, do not install or use the Software, and you must not accept this EULA agreement.
This EULA agreement shall apply only to the Software supplied by CrossBytes S.L.U. herewith regardless of whether other software is referred to or described herein. The terms also apply to any CrossBytes S.L.U. updates, supplements, Internet-based services, and support services for the Software, unless other terms accompany those items on delivery. If so, those terms apply.

License Grant
CrossBytes S.L.U. hereby grants you a personal, non-transferable, non-exclusive licence to use the CrossBytes software on your devices in accordance with the terms of this EULA agreement.
You are permitted to load the CrossBytes software (for example a PC, laptop, mobile or tablet) under your control. You are responsible for ensuring your device meets the minimum requirements of the CrossBytes software.
You are not permitted to:

Edit, alter, modify, adapt, translate or otherwise change the whole or any part of the Software nor permit the whole or any part of the Software to be combined with or become incorporated in any other software, nor decompile, disassemble or reverse engineer the Software or attempt to do any such things

Reproduce, copy, distribute, resell or otherwise use the Software for any commercial or non commercial purpose

Allow any third party to use the Software on behalf of or for the benefit of any third party

Use the Software in any way which breaches any applicable local, national or international law

Use the Software for any purpose that CrossBytes S.L.U. considers is a breach of this EULA agreement

We grant you license to use the Software so long as:

The License is installed on a computer you own, lease, rent, or license.

The number of login sessions running the Software at the same time does not exceed the number of licenses you own.
To simplify management of multiple licenses, computers, and users, we recommend you install your license with Cloud option.
Unless otherwise noted, each license key is a single (1) User license. Educational Lab and Not For Resale Lab licenses are maximum thirty (30) User licenses.
An Upgrade License extends your existing License to include running a newer version of CrossBytes. An Upgrade License does not change the number of Users who can use CrossBytes simultaneously.
You must treat this Software just like a book or any other copyrighted material (e.g., recordings and film). You may make archival copies of the Software. You may not distribute any portion of the Software or materials accompanying the Software.
License validation may be required on each computer after installation.
Educational, Educational Lab, Not For Resale, and Not For Resale Lab licenses may not be sold or given to a different entity.

CrossBytes Technology S.L.U. makes no warranty, including but not limited to any implied warranties of merchantability or fitness for a particular purpose, regarding the Software or accompanying materials. The Software and accompanying materials are provided solely on an as-is basis.
In no event shall CrossBytes Technology S.L.U. be liable for any special, collateral, incidental, or consequential damages in connection with or arising out of the use of the Software and accompanying materials.
This product may send anonymous usage information. To opt out of anonymous reporting, consult your product documentation.
Intellectual Property and Ownership

CrossBytes S.L.U. shall at all times retain ownership of the Software as originally downloaded by you and all subsequent downloads of the Software by you. The Software (and the copyright, and other intellectual property rights of whatever nature in the Software, including any modifications made thereto) are and shall remain the property of CrossBytes S.L.U.
CrossBytes S.L.U. reserves the right to grant licences to use the Software to third parties.
All NFR (Not for Resale) licenses, free or not, granted to users and distributors belong to CrossBytes S.L.U. and therefore can be modified or revoked at any time without prior notice.

Termination
​
This EULA agreement is effective from the date you first use the Software and shall continue until terminated. You may terminate it at any time upon written notice to CrossBytes S.L.U.
It will also terminate immediately if you fail to comply with any term of this EULA agreement. Upon such termination, the licenses granted by this EULA agreement will immediately terminate and you agree to stop all access and use of the Software. The provisions that by their nature continue and survive will survive any termination of this EULA agreement.
CrossBytes S.L.U. reserves the right to terminate access to licenses to use the Software to third parties.

Governing Law
​
This EULA agreement, and any dispute arising out of or in connection with this EULA agreement, shall be governed by and construed in accordance with the laws of Spain.
